Microsoft is giving up its seat on OpenAI’s board of directors. The company says the presence is no longer necessary, as the ChatGPT maker’s governance has improved since last year’s board shakeup.

“We appreciate the support that OpenAI leadership and the OpenAI Board have shown as we made this decision,” Microsoft said in a letter dated Tuesday. The company’s resignations are effective immediately, Microsoft said.

The unexpected departure comes as antitrust authorities are scrutinizing Microsoft's partnership with OpenAI, which saw the software giant invest billions in OpenAI.

Microsoft has also taken a seat on OpenAI's board of directors after a chaotic period in which OpenAI CEO Sam Altman was abruptly firedwas subsequently reinstated, while the board members who orchestrated his ouster were later ousted.

“Over the past eight months, we have seen significant progress from the newly formed board of directors and are confident in the direction the company is headed,” Microsoft said in its letter. “Given all of this, we no longer believe our limited role as an observer is necessary.”

Microsoft's decision means that OpenAI will not receive an observer position on the board of directors.

“We are grateful to Microsoft for the confidence it has placed in the Board and the direction the company is taking, and we look forward to continuing our successful partnership,” OpenAI said in a statement.

The Federal Trade Commission and the U.K. regulator have also scrutinized Microsoft’s relationship with OpenAI, while European regulators said last month they would review the partnership under the 27-nation bloc’s antitrust rules.
